Agreement Between User and AKOLIYA GROUP

Welcome to AKOLIYA GROUP. These Terms of Service (“Terms”, “TOS”, “Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”, “the Client”), and AKOLIYA GROUP (“the Company,” “we,” “us,” “our”), concerning your access to and use of our website akoliyagroup.com, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”) and our services.

You agree that by accessing the Site and our services, you have read, understood, and agree to be bound by all of these Terms of Service, as well as our separately published Privacy Policy, Cookie Policy, Shipping Policy, and Returns, Exchanges & Resizing Policy, which are incorporated by reference into these Terms. If you do not agree with all of these legal documents, then you are expressly prohibited from using the Site and our services and you must discontinue use immediately.

These Terms are directed at business-to-business (B2B) clients. You represent and warrant that you have the authority to bind the entity you represent to these Terms.


Article 1: Definitions

For the purposes of this Agreement, the definitions provided in our “Legal Notice, Disclaimer, and Comprehensive Industry Glossary” are incorporated herein by reference. Key terms include:

  • Client: The business entity, its agents, and representatives engaging in a transaction with the Company.
  • Goods/Products: All loose diamonds, polished diamonds, rough diamonds, and finished diamond jewelry offered for sale by the Company.
  • Site: The official website and any associated digital platforms of AKOLIYA GROUP.
  • Services: The provision of information, wholesale purchasing, order processing, and logistical arrangements for the Goods.
  • Final Sale: The status of all Goods sold, indicating they cannot be returned or refunded for reasons of customer preference.
  • Manufacturing Defect: A flaw in the Product’s materials or workmanship present at the time of delivery, resulting from an error in the manufacturing process.
  • Kimberley Process Certification Scheme (KPCS): The international certification scheme to prevent the trade of conflict diamonds.

Article 2: User Account & Registration

2.1. Account Creation: To access our wholesale pricing and purchasing services, you must register for an account. You agree to provide true, accurate, current, and complete information about your business entity as prompted by the registration form. This includes, but is not limited to, your full business name, company registration number, tax identification number (e.g., VAT), billing address, and shipping address.

2.2. Know Your Customer (KYC) and Anti-Money Laundering (AML): The Company adheres to UK AML and Counter-Terrorism Financing (CTF) regulations. As a prerequisite for account activation, you agree to comply with our KYC verification process, which may require corporate registration documents, identification of beneficial owners, and other due diligence documentation. The Company reserves the right to refuse or terminate any account that fails to meet our due diligence standards or is suspected of illicit activities.

2.3. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities under your account. Notify AKOLIYA GROUP immediately of unauthorized account use or breaches.


Article 3: Orders, Pricing, and Payment

3.1. Product Information: Specifications of our Goods, including the 4Cs (Carat, Color, Clarity, Cut) and product imagery, are provided for guidance only. While every effort is made to ensure accuracy, we do not warrant that descriptions, grading reports (e.g., GIA, IGI), or other content are error-free.

3.2. Pricing and Availability: Prices are quoted exclusive of shipping, insurance, customs duties, and taxes. Prices are subject to change without notice due to market conditions. A binding contract of sale is formed only upon issuance of a formal Purchase Order or invoice and receipt of payment.

3.3. Payment Terms: Payments must be made in full via the specified methods (e.g., Bank Transfer). Title to Goods passes to the Client upon full payment.

3.4. Minimum Order Value: A minimum order value of £1,000.00 GBP applies to all international orders.


Article 4: Shipping, Delivery, and Customs

4.1. Shipping Policy: All shipments are governed by our Shipping Policy, incorporated into these Terms.

4.2. Importer of Record: The Client is the Importer of Record for all Goods. Duties, import taxes (e.g., VAT), and brokerage fees are the sole responsibility of the Client.

4.3. Refusal to Pay Duties: If the Client refuses duties, causing shipment returns, the Client will bear all associated costs.


Article 5: Returns and Warranty

5.1. Final Sales: All sales are final. We do not accept returns or refunds for reasons such as buyer’s remorse.

5.2. Limited Warranty: Covers manufacturing defects and shipping damage reported within 48 hours.


Article 6: Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes will be resolved in English courts.
